Vessit Signature Partner Agreement

1. Engagement
1.1 This Agreement is entered into by and between Vessit (“Brand”) and the individual or entity (“Partner”) entering into this Signature Partner relationship.1.2 Partner shall host and promote a co-branded collection (“Signature Collection”) on Brand’s platform (the “Platform”).
2. Term & Termination
2.1 This Agreement commences on the effective date and remains in force until terminated by either party with 60 days written notice.
2.2 Brand may terminate immediately if Partner breaches any material obligation or engages in conduct harmful to the Brand’s reputation.
2.3 Upon termination: all promotional permissions and ongoing commissions cease immediately; outstanding payouts shall be settled within 30 days.
3. Commission & Payment
3.1 Partner shall receive 20% commission on all net Sales of the Signature Collection.
3.2 “Net Sales” means gross revenue less refunds, returns, shipping, discounts, and applicable taxes (including GST for India).
3.3 Payments will be remitted monthly within 30 days following the end of each calendar month, with a payout threshold of ₹10,000 or USD equivalent.
3.4 Brand reserves the right to withhold payment if suspected fraud, returns exceeding 15%, or abnormal ordering behavior is detected.
4. Logo & Intellectual Property
4.1 Partner is granted a limited, non‑exclusive, revocable license to use Brand trademarks solely for the promotion of the Signature Collection, strictly in accordance with Brand’s guidelines.
4.2 All content, materials, code, and promotional assets remain the sole and exclusive property of Brand.
4.3 Partner shall not contest or attempt to register Brand’s intellectual property or assert any claim to ownership.
5. Representation & Obligations
5.1 Partner represents and warrants compliance with all applicable Indian laws (including the Consumer Protection Act, Advertising Standards, and GST regulations), as well as international laws in any jurisdiction where they promote.
5.2 Partner must provide truthful, accurate, and high-quality promotional content, consistent with Brand’s tone, values, and image.
5.3 Partner must disclose any paid promotions or affiliations, in compliance with advertising laws (e.g., FTC guidelines, ASA UK, or relevant local authority).
6. Confidentiality
6.1 Both parties agree to maintain confidentiality over trade secrets, proprietary data, and business insights.
6.2 Confidential information shall not be disclosed to third parties without prior written consent, except as required by law.
7. Compliance & Ethics
7.1 Partner shall not engage in misleading, deceptive, or defamatory promotion.
7.2 Partner must not employ bots, fake reviews, or misrepresent Brand’s offerings in any domain.
7.3 In the event of ethical or legal violation, Brand reserves the right to deduct commission or terminate immediately.
8. Liability & Indemnity
8.1 Brand shall not be liable for loss of earnings, profits, or reputational damage suffered by Partner.
8.2 Partner agrees to indemnify and hold harmless Brand from any third-party claims arising from Partner’s actions: breach, fraud, misrepresentation, or non-compliance.
9. Governing Law & Jurisdiction
9.1 This Agreement shall be governed by and construed in accordance with the laws of India, with exclusive jurisdiction vested in courts of Delhi / New Delhi.
9.2 If Partner is headquartered outside India, both parties may seek enforcement or dispute resolution through arbitration under UNCITRAL rules, with a neutral venue to be mutually agreed.
10. Miscellaneous
10.1 No waiver of any right or provision hereunder shall be effective unless in writing signed by both parties.
10.2 If any provision is found invalid or unenforceable, the remaining provisions will remain in full force.
10.3 This Agreement constitutes the entire understanding between the parties with respect to the Signature Partnership, superseding any prior agreements or understandings.
IN WITNESS WHEREOF the parties have caused this Agreement to be executed by their duly authorized representatives as of the Effective Date.
By agreeing this Agreement, the Partner acknowledges that they have received, reviewed, and fully understood the accompanying Vessit Signature Circle Partner Protocols, including the Brand Guidelines and Code of Conduct.
